SideGigUSA Consolidated Terms of Use and Mandatory User Onboarding Agreement

1. Acceptance of Terms

These Terms govern access to and use of www.sidegigusa.com and all related websites, applications, content, communications, and services offered by SideGigUSA (collectively, the "Platform"). By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

You represent that you are at least 18 years old and legally able to enter into a binding agreement. If you use the Platform on behalf of a business or organization, you represent that you have authority to bind that entity.

2. Modifications to Terms

SideGigUSA may revise these Terms at any time by posting an updated version on the Platform. Changes become effective when posted unless a later effective date is stated. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

3. Platform Overview and Neutral Marketplace Status

SideGigUSA is a technology platform and neutral online marketplace that connects customers with independent third-party service providers.

SideGigUSA does not perform services, employ providers, supervise work, direct work methods, set provider pricing, assign jobs as an employer or contractor, or guarantee that any job will be completed.

All services are independently offered, negotiated, contracted for, and performed solely between customers and providers.

Nothing in these Terms creates any employment, agency, brokerage, contractor-subcontractor, partnership, joint venture, fiduciary, or franchise relationship between SideGigUSA and any user.

4. Eligibility and Account Registration

  • You must provide accurate, current, and complete information and keep it updated.
  • You are responsible for safeguarding your credentials and for all activity occurring through your account.
  • You may not create an account using false information, impersonate another person, or allow another person to use your account in a misleading or unauthorized manner.

5. Permitted Use and Prohibited Conduct

You may use the Platform only for lawful purposes.

You may not violate any law, infringe any rights, submit false or misleading information, use bots or scraping tools without written permission, interfere with the Platform, evade fees, or attempt unauthorized access.

You may not post or request illegal, hazardous, discriminatory, violent, fraudulent, sexually exploitative, or otherwise prohibited services or content.

You may not bypass the Platform to avoid agreed fees where the Platform terms or a separate fee policy prohibit circumvention.

SideGigUSA may remove content, suspend accounts, cancel listings, or restrict access at its discretion to protect users, comply with law, or preserve Platform integrity.

6. Jobs, Applications, Quotes, and Direct Contracts

Customers may post jobs or service requests. Providers may apply, quote, decline, negotiate, or accept opportunities in their sole discretion.

Providers control whether to accept work, what rate to charge, what tools to use, how to perform the work, and whether to work for other platforms or clients.

Any service agreement is solely between the customer and the provider. SideGigUSA is not a party to that contract and is not responsible for performance, nonperformance, cancellation, delays, workmanship, code compliance, permits, or losses arising from the service relationship.

7. Payments, Fees, Payouts, and Taxes

SideGigUSA may charge platform fees, booking fees, subscription fees, lead fees, commissions, payment-processing fees, dispute fees, or other fees disclosed on the Platform or in a separate pricing policy.

Payments may be processed through third-party payment processors, including Stripe or other providers. SideGigUSA is not a bank, money transmitter, escrow company, or trustee unless expressly stated in a separate written agreement.

SideGigUSA may facilitate payment collection and remittance instructions, but all payment-processing obligations and card network rules are governed by the applicable third-party processor terms.

Providers are solely responsible for all federal, state, and local taxes, tax filings, business registrations, and compliance obligations related to their earnings and services.

Where applicable, tax reporting may be handled by the payment processor or through a platform tax-reporting feature. Users are responsible for providing accurate tax information.

8. Independent Contractor Status of Providers

Each provider is an independent business and independent contractor, not an employee, agent, or representative of SideGigUSA.

Providers are solely responsible for their labor, helpers, subcontractors, wages, training, tools, vehicles, supplies, permits, licenses, insurance, and legal compliance.

Providers acknowledge they control the manner and means of their work and are free to accept or reject opportunities.

9. Insurance Responsibility

Providers are solely responsible for obtaining and maintaining all insurance appropriate to the services they offer, which may include general liability, commercial auto, workers' compensation, professional liability, inland marine, umbrella, or other coverage depending on the service category and applicable law.

SideGigUSA does not provide insurance for providers or customers unless expressly stated in a separate written program description.

SideGigUSA does not guarantee that any provider or customer has insurance, that any insurance is valid, or that any claim will be covered.

Customers are responsible for deciding whether to require proof of insurance and for independently verifying insurance before work begins.

10. Background Checks, Screening, and Due Diligence

SideGigUSA does not conduct, guarantee, certify, or warrant background checks unless expressly stated in writing for a specific feature.

Any optional screening, identity verification, badge, or background-check feature is informational only and does not constitute a guarantee of safety, honesty, skill, licensing, or fitness.

Providers are responsible for the truthfulness of their information and disclosures.

Customers are responsible for conducting their own due diligence before allowing access to persons, homes, businesses, vehicles, property, confidential information, or family members.

Customers and providers each assume responsibility for any background checks, references, interviews, site inspections, or additional screening they choose to perform.

11. No Guarantees; Use at Your Own Risk

The Platform is provided as a marketplace tool only. SideGigUSA does not guarantee the quality, safety, legality, reliability, timeliness, identity, background, credentials, insurance, licensing, pricing, or performance of any user, listing, service, communication, or transaction.

Use of the Platform and all interactions between users are at your own risk.

12. Reviews, Ratings, User Content, and Honest Feedback

Users may submit reviews, ratings, photos, messages, profiles, listings, and other content ("User Content"). You grant SideGigUSA a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, display, adapt, moderate, distribute, and use User Content to operate, improve, market, and protect the Platform.

You may not post content that is false, defamatory, unlawful, harassing, invasive of privacy, infringing, deceptive, or manipulated.

SideGigUSA may remove, refuse, or moderate content at its discretion, but has no duty to do so.

Nothing in these Terms is intended to prohibit or unlawfully restrict honest reviews or feedback where prohibited by applicable law.

13. Communications, Electronic Consent, and Text Messages

You consent to receive communications from SideGigUSA electronically, including by email, in-app notices, and text messages where you provide a mobile number or otherwise consent.

You are responsible for any carrier charges. Message frequency may vary.

You agree that electronic signatures, click-through acceptance, and electronic records satisfy legal requirements for writings and signatures to the fullest extent permitted by law.

14. Third-Party Services and Links

The Platform may contain third-party tools, links, software, insurance offerings, payment services, background-check vendors, maps, analytics, or embedded content. SideGigUSA is not responsible for third-party products or services and does not control their terms, privacy practices, or performance.

15. No Duty to Monitor; Safety and Emergency Notice

SideGigUSA does not undertake and has no duty to monitor user conduct, communications, listings, or services performed through the Platform.

SideGigUSA may, but is not obligated to, investigate complaints, verify information, remove content, suspend accounts, or cooperate with law enforcement.

The Platform is not an emergency service. If there is an immediate safety concern or criminal issue, users should contact emergency services or appropriate authorities directly.

16. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEGIGUSA AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, PROPERTY DAMAGE, PERSONAL INJURY, OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE PLATFORM OR ANY USER INTERACTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEGIGUSA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD 100) OR (B) THE AMOUNT OF PLATFORM FEES PAID BY YOU TO SIDEGIGUSA IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

18. Release of Claims Between Users

To the fullest extent permitted by law, you release SideGigUSA from claims, demands, and damages arising out of or related to disputes between users, including customers and providers, and from the acts or omissions of other users.

19. Indemnification

You agree to defend, indemnify, and hold harmless SideGigUSA and its owners, officers, directors, employees, affiliates, contractors, successors, and agents from and against any claims, actions, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) services you provide, request, perform, or receive; (d) your violation of these Terms; (e) your violation of any law or third-party right; or (f) injury, death, property damage, or other loss arising from user interactions or services.

20. Suspension and Termination

SideGigUSA may suspend, limit, or terminate accounts, listings, payments, or Platform access at any time, with or without notice, for risk, fraud, legal compliance, nonpayment, user complaints, misuse, or any other reason permitted by law.

Sections intended by their nature to survive termination will survive, including payment obligations, dispute provisions, indemnification, limitations of liability, releases, intellectual property rights, and licenses.

21. Dispute Resolution, Arbitration, and Class Action Waiver

Please have a licensed attorney review this section before launch. Any final arbitration clause should be tailored to your state, user base, and consumer-law requirements.

Except where prohibited by law, any dispute arising out of or relating to these Terms or the Platform shall first be submitted to informal resolution by written notice. If unresolved, the dispute may be resolved by binding individual arbitration and not in court, except for eligible small-claims matters.

To the fullest extent permitted by law, users waive the right to participate in class actions, class arbitrations, or representative actions.

Either party may seek temporary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, or platform security pending arbitration.

22. Governing Law and Venue

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-laws principles, except to the extent preempted by federal law or limited by applicable consumer-protection law.

If a dispute is not subject to arbitration, the exclusive venue shall be the state or federal courts located in Wisconsin, and you consent to personal jurisdiction there.

23. Miscellaneous Contract Terms

These Terms constitute the entire agreement between you and SideGigUSA regarding the Platform and supersede prior or contemporaneous understandings on the same subject.

If any provision is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

SideGigUSA may assign these Terms in connection with a merger, sale, financing, or transfer of assets. Users may not assign their rights or obligations without prior written consent.

A waiver of any breach is not a waiver of any later breach.

SideGigUSA is not liable for delays or failures caused by events beyond its reasonable control, including outages, natural disasters, labor disputes, cyber incidents, processor failures, or government actions.

25. Mandatory User Onboarding Agreement and Acknowledgments

As a condition of using the Platform, every customer and every provider must affirmatively accept the following acknowledgments at signup, and again where appropriate when posting, applying for, accepting, or paying for work.

A. Acknowledgments Required From All Users

  • I understand SideGigUSA is a technology platform and neutral marketplace only, and does not itself perform services.
  • I understand SideGigUSA does not employ providers and does not control how providers perform work.
  • I understand all services and transactions are directly between the customer and the provider.
  • I understand SideGigUSA does not guarantee safety, quality, licensing, insurance, background checks, completion, or results.
  • I agree to use the Platform at my own risk and to exercise my own judgment and due diligence.
  • I understand SideGigUSA is not my agent, broker, insurer, guarantor, contractor, or legal representative.
  • I agree that electronic acceptance, records, and communications are legally binding.
  • I agree to the dispute resolution, arbitration, limitation-of-liability, release, and indemnification provisions in these Terms.

B. Additional Acknowledgments Required From Providers

  • I am an independent contractor or independent business and not an employee, agent, partner, or representative of SideGigUSA.
  • I control the manner and means of my work, including pricing, scheduling, methods, tools, materials, vehicles, and whether to accept or reject any opportunity.
  • I am solely responsible for taxes, licenses, permits, registrations, helpers, subcontractors, safety practices, and compliance with all laws.
  • I am solely responsible for obtaining and maintaining appropriate insurance for my services.
  • I will provide accurate profile, licensing, and business information and will not misrepresent my experience, insurance, qualifications, or identity.
  • I understand any screening, verification, badge, or optional background-check feature does not make SideGigUSA responsible for my conduct or for customer safety.
  • I will not claim that SideGigUSA supervises my work or guarantees my services.

C. Additional Acknowledgments Required From Customers

  • I am solely responsible for evaluating providers, reviewing quotes, verifying insurance, checking qualifications, and deciding whether to allow access to my property, family, business, data, or belongings.
  • I understand any profile, badge, review, or optional screening feature is informational only and is not a guarantee by SideGigUSA.
  • I will not rely on SideGigUSA as a substitute for my own background checks, safety decisions, or due diligence.
  • I understand SideGigUSA is not responsible for losses, damages, delays, property damage, workmanship issues, personal injury, theft, or disputes arising from provider services, except as required by law.

D. Recommended Checkbox Language for Signup

26. Implementation Notes for the Platform

  • Do not market providers as "guaranteed safe," "fully vetted," "insured by us," or similar unless you can substantiate each claim operationally and legally.
  • Do not structure product behavior in a way that contradicts the contract, such as setting mandatory provider pricing, controlling the manner of performance, or implying that SideGigUSA itself is the service company.
  • If you offer optional insurance verification or background-check integrations, describe them as optional or informational unless your process truly verifies and continuously monitors them.
  • Keep a separate Privacy Policy, Fee Policy, Refund/Chargeback Policy, and Prohibited Services Policy linked from signup and checkout.
